By accessing, using, or registering for a User Account (as defined below) with SimpliRoute in any way, you acknowledge that you have read and agreed to these Terms of Service (the "Terms") in full and without modification.
The following terms and conditions govern all use of the SimpliRoute website and all content, services, and products available at or through the website, iOS, and Android apps.
These Terms serve as a binding contract between you and SimpliRoute Inc. (the "Company") regarding your use of SimpliRoute. You further agree to be bound by SimpliRoute's Privacy Policy, which is incorporated herein by reference and may be accessed on SimpliRoute.
As used in these Terms, the words "you" and "your" refer to you personally or, if you access SimpliRoute on behalf of a company or entity, that company or entity. The Company reserves the right to revise these Terms at any time by updating this document. Upon such update, you will be alerted to the change through a notification within SimpliRoute, provided at least 30 days before any material changes take effect. By continuing to use SimpliRoute after such notification, you agree to be bound by the most recent version of the Terms. If you do not agree with any changes, you may terminate your subscription before the changes come into effect.
1. Use of SimpliRoute
(a) Subject to your compliance with these Terms and your maintenance of a User Account, the Company grants you a non-exclusive, non-sublicenseable, revocable, limited license to use SimpliRoute. You acknowledge that the Company maintains all rights, title, and interest in and to SimpliRoute and its Intellectual Property (as defined below).
(b) In order to use SimpliRoute, you must be at least 18 years of age and have full legal capacity. If you access SimpliRoute on behalf of a company or entity, you personally represent that you have the requisite authority and agency to bind such company or entity to these Terms. SimpliRoute shall not be used by persons under 18 years of age or by those disqualified from acting validly by law or court order, either temporarily or permanently. SimpliRoute complies with COPPA (Children’s Online Privacy Protection Act) and does not knowingly collect personal information from children under the age of 13.
(c) You agree not to use SimpliRoute if it is prohibited or restricted by law in your location.
(d) SimpliRoute is subject to change at any time. We may discontinue providing SimpliRoute or restrict your access without notice and for any reason, including but not limited to:
- Violation of these Terms.
- Activity deemed illegal in any jurisdiction.
- Misuse of intellectual property or violation of third-party rights.
- Misuse or disruption of SimpliRoute servers or networks.
- Nonpayment or late payment for subscriptions.
(e) You represent and guarantee that you will:
- Not interfere with SimpliRoute's security or networks or intercept data.
- Not decode, reverse engineer, or recreate the source code of SimpliRoute.
- Not sublicense, rent, lease, or transfer SimpliRoute or its Intellectual Property.
- Not violate any laws, rules, or regulations.
- Not use SimpliRoute for research or creating competing products.
- Obtain necessary licenses, permissions, and equipment to use SimpliRoute.
- Submit only truthful, accurate, and complete information to SimpliRoute.
- Abide by third-party terms related to software/scripts within SimpliRoute.
- Use SimpliRoute in a manner consistent with driving and traffic guidelines.
2. User Account and Subscription
(a) SimpliRoute requires users to register for a User Account to access certain features. User Accounts may not be shared unless expressly permitted in the sign-up instructions.
(b) SimpliRoute offers subscriptions at the price listed on the website, billed automatically on a monthly basis unless otherwise indicated. Prices and availability are subject to change with advance notice. Your subscription may include a free trial, after which it will terminate unless you choose to continue with a paid subscription.
(c) Auto-Renewal: Subscriptions automatically renew at the then-current rate for the next equivalent term, unless you cancel before the renewal date. You will receive a notice via email at least 30 days prior to the auto-renewal, outlining the renewal terms and pricing. You authorize the Company to charge your credit card or payment information for all applicable fees. We will comply with state auto-renewal laws, and the cancellation process will be straightforward.
(d) You can cancel your subscription at any time by following the instructions provided in SimpliRoute. The Company may cancel your subscription without notice under these Terms. Upon cancellation, no further payment will be due, but no refunds will be provided for previous payments.
(e) We reserve the right to refuse to provide User Accounts or Subscriptions to any individual.
(f) After termination, we may permanently delete your account and data. Accounts inactive for 12 months may also be deleted. To close your account, contact us at support@simpliroute.com.
(g) Price Adjustments: The Parties agree that the subscription fees for the services provided under these Terms will be adjusted annually based on the official inflation rate of the country in which the services are rendered. In addition to the inflation adjustment, the Service Provider reserves the right to implement an additional price adjustment of up to ten percent (10%). This additional increase may be applied once per year and will be communicated to the Client in writing, with at least thirty (30) days' notice, via email. Such adjustments are intended to reflect economic conditions and ensure the continued quality and sustainability of the services provided.
(h) All prices posted within SimpliRoute are in United States denominations unless expressly designated otherwise. Prices and availability are subject to change with appropriate notice as described above.
3. Route Planning
(a) SimpliRoute aims to provide accurate logistics planning tools, but we do not guarantee accuracy. You agree to be solely responsible for your reliance on our services.
(b) Use caution when planning routes and driving, as road conditions may change quickly. SimpliRoute will not be liable for incorrect estimates or route suggestions.
4. Intellectual Property
(a) All patents, copyrights, trademarks, trade secrets, ideas, and designs used in connection with SimpliRoute are the property of the Company or third-party licensors. No license or transfer of Intellectual Property is granted, and you may only use SimpliRoute’s Intellectual Property for the purposes expressly permitted.
(b) You may upload user-generated content (e.g., data, photos) to SimpliRoute, and you grant us a worldwide, non-exclusive license to use this content to improve our services.
5. Limitation of Liability
(a) The Company and its affiliates will not be liable for indirect, punitive, or consequential damages arising from the use of SimpliRoute, even if advised of the possibility. Our total liability is limited to the amount you paid in the 12 months preceding the claim.
(b) We are not responsible for interruptions or stoppages of SimpliRoute's availability.
(c) You agree to indemnify the Company against any claims arising from your use of SimpliRoute or breach of these Terms.
6. No Warranties
SimpliRoute is provided "as-is" without warranties, including implied warranties of merchantability or fitness for a particular purpose. We do not guarantee that SimpliRoute will meet your needs or be bug-free.
7. Dispute Resolution
(a) Any disputes will be resolved through binding arbitration administered by the American Arbitration Association. However, parties retain the right to seek injunctive relief in court for intellectual property matters.
(b) Arbitration does not waive your right to pursue individual actions related to intellectual property disputes in court.
8. Additional Terms
(a) The Company may send you promotional or administrative messages via email or SMS. By registering, you consent to receive such communications.
(b) These Terms are governed by the laws of the State of Delaware. If any part of these Terms is found invalid, the remaining provisions will continue in effect.
(c) Neither party's delay in exercising any right will constitute a waiver.
(d) You may not assign these Terms without our written consent, but we may assign them in the event of a merger or reorganization.
